We are seeking a high caliber attorney to join our Legal Department, supporting general corporate matters. As Corporate Counsel at Jack Henry, you’ll be part of a growing and diverse team of smart and energetic attorneys, paralegals, and support staff. You will collaborate with colleagues from all over the company, partnering in initiatives that influence all aspects of the business. As an integrated part of the team, you will provide practical legal solutions that help to move the business forward in areas including but not limited to mergers and acquisitions, intellectual property, and corporate governance. The ideal candidate will have broad experience in general corporate matters, preferably in a large publicly traded corporation or within the technology industry.

This position can be based out of any Jack Henry office or remotely from any US location. Travel up to 5% to other Jack Henry offices for meetings/trainings or to professional conferences is required. Compensation for this position will be a base salary of $100-150k depending on candidate experience and geographic location, as well as additional bonuses and benefits.

What you’ll be responsible for:
  • Supporting corporate governance actions, including drafting policies and documentation.
  • Supporting corporate compliance with applicable securities laws and regulations.
  • Supporting subject-matter experts of the legal team and management on corporate law matters.
  • Supporting and managing aspects of merger and acquisition transactions such as confidentiality agreements, due diligence, and document negotiation.
  • Advancing intellectual property initiatives, including reviewing and approving public-facing statements and copy.
  • Reviewing, drafting, and negotiating a wide range of transactional documents and contractual arrangements.
  • Being a reliable teammate willing to help others and adapt well when there is ambiguity.
  • Counselling internal business units on creative and practical legal advice to support achievement of business objectives.
  • May perform other job duties as assigned.
What you’ll need to have:
  • Juris Doctorate degree required and admitted to, and in good standing with, a state bar.
  • A minimum of 5 years of experience of legal practice.
  • Experience in any combination of the following:  mergers and acquisitions, intellectual property, and/or corporate governance of a publicly traded company.
  • Must be able to travel up to 5% to other Jack Henry office locations for meetings, training, or to attend a professional conference.
What would be nice for you to have:
  • Experience as in-house counsel for a publicly traded technology company.
  • Substantial experience in mergers and acquisitions of technology companies.
  • Experience driving intellectual property protection within software and services development.
  • Sound judgment, interpersonal skills, ability to work independently and as part of a team, and excellent time management.
  • Enjoy building client relationships and working closely with various teams, such as operations, engineering, finance, and sales, at all levels.
  • Self-starter who is curious and enjoys providing practical legal solutions in a fast-paced environment for a variety of matters.
  • Ability to see beyond the question asked to the larger issue and future implications.
